These terms and conditions govern your access to and use of the website operated by the Association of Professional Accountants and Auditors (APAA, “we”, “us”, or “our”), and your application for and use of our membership grades, certificates, and continuing professional development (CPD) courses. By accessing this website or applying for membership, a certificate, or a course, you agree to be bound by these terms. If you do not agree with any part of them, please do not use this website or our services.
1. Definitions
“Website” means the pages published at apaauk.org and its subdomains. “Services” means our membership grades, professional certificates, CPD courses, and any related enrolment or verification tools, including those hosted on our membership portal at crm.apaauk.org. “Member” means any individual or organisation admitted to one of our membership grades. “You” means the visitor, applicant, or Member using the Website or Services.
2. Use of This Website
You may browse the Website and use its content for your own personal or internal professional reference. You must not copy, reproduce, republish, or distribute any substantial part of the Website for commercial purposes without our prior written consent. You agree not to misuse the Website by knowingly introducing viruses or other malicious material, attempting unauthorised access to any part of the Website or our systems, or using automated means to scrape or overload the Website.
3. Membership and Certification
Admission to any APAA membership grade or the award of any certificate is at our sole discretion and is subject to you meeting the published eligibility criteria and providing accurate and complete information in your application. We reserve the right to verify any information supplied and to decline, suspend, or withdraw membership or a certificate where eligibility criteria are not met, where information provided is false or misleading, or where our code of conduct or professional standards have been breached.
Membership grades and certificates issued by APAA denote successful completion of our own admission or assessment requirements. They are not a licence to practise granted by a government or statutory regulator, and it remains your responsibility to hold whatever licences, registrations, or statutory authorisations your jurisdiction requires for the work you undertake.
4. CPD Courses and Enrolment
Course listings, dates, fees, and content on the Website are provided for guidance and may change before enrolment is confirmed. Enrolment in a CPD course is confirmed only once the applicable fee has been paid in full through our membership portal or another payment method we accept. We reserve the right to reschedule, substitute a facilitator for, or, in circumstances beyond our reasonable control, cancel a course, in which case we will offer a transfer to a future sitting or a refund of the fee paid for that course.
5. Fees and Payment
Fees for membership, certificates, and courses are as published at the time of application and are payable in the currency stated. Except where required by law or expressly stated at the point of sale, fees are non-refundable once a service has been delivered, an assessment has been marked, or a course has commenced. Payments are processed through our membership portal and any third-party payment processor it uses; we do not store your full payment card details.
6. Intellectual Property
The Website, including its text, graphics, logos, course materials, and the APAA name and marks, is owned by or licensed to APAA and is protected by copyright, trade mark, and other intellectual property laws. Nothing in these terms transfers any such rights to you, and no licence is granted beyond the limited right to view the Website and use course materials issued to you for your own study.
7. Third-Party Links and Content
The Website may link to third-party sites, including our social media profiles and our membership portal, and may reference alliance partners and accrediting or awarding bodies. We do not control and are not responsible for the content, availability, or privacy practices of any third-party site. Use of any third-party site is at your own risk and subject to that site's own terms.
8. Disclaimer
The Website and its content are provided on an “as is” and “as available” basis. Nothing on the Website constitutes financial, legal, tax, or professional advice, and it should not be relied upon as a substitute for advice from a suitably qualified professional. While we take reasonable care to keep the Website accurate and up to date, we do not warrant that it is complete, error-free, or uninterrupted.
9. Limitation of Liability
To the fullest extent permitted by law, APAA shall not be liable for any indirect, incidental, special, or consequential loss or damage, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Website or Services. Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
10. Indemnity
You agree to indemnify and hold APAA harmless against any claim, liability, cost, or expense arising from your breach of these terms, your misuse of the Website or Services, or your violation of any law or the rights of a third party.
11. Suspension and Termination
We may suspend or terminate your access to the Website or Services, and may suspend or withdraw your membership or certificate, if you breach these terms, if we reasonably suspect fraud or misuse, or if required to do so by law or by a professional or regulatory body we are affiliated with. You may end your membership at any time by notifying us in writing; fees already paid are not refunded on voluntary withdrawal except where required by law.
12. Changes to These Terms
We may update these terms from time to time to reflect changes in our Services, our practices, or the law. The effective date at the top of this page shows when it was last revised. Continued use of the Website or Services after an update constitutes acceptance of the revised terms.
13. Governing Law and Jurisdiction
These terms, and any dispute arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of Scotland. The courts of Scotland shall have exclusive jurisdiction to settle any such dispute, without prejudice to any mandatory consumer protection rights you may have in your own country of residence.
14. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
